Your ambition.Your enterprise.

E-2 is a treaty-investor classification that requires qualifying treaty nationality and a real operating enterprise. The investor must place substantial capital beyond easy withdrawal and into genuine commercial risk, show that the enterprise is not marginal, and have the capacity to develop and direct it. The analysis turns on the total cost and character of the business rather than a fixed universal price. Ownership, voting rights, financing terms, source of funds, and operating authority all matter. An E-2 is not a direct permanent-residence category.

Start with the E-2 eligibility and application overview

01

Trace capital from source to enterprise

Hypothetical example: sale proceeds move through a personal account, then to escrow, then toward a business purchase subject to closing. Preserve the sale record, statements, transfer evidence, escrow terms, and closing conditions. A balance shown on one date does not by itself prove lawful origin, ownership, or an actual commitment to the enterprise. Treaty nationality applies to the investor and can also apply through the ownership of the enterprise. Where a business has several owners, trace nationality and ownership through each relevant layer rather than relying on a local address, residency card, or the country in which a bank account is held. Corporate formation papers, share certificates, registers, and voting agreements should agree with the explanation of control. A later equity change can matter and should be tracked rather than described as immaterial by default.

02

Test commercial exposure and substantiality

Capital needs to be committed in a way that is irrevocable and exposed to the business’s commercial risk. Examine what has been paid, what remains conditional, and whether the amount is substantial for the cost of buying or creating that particular enterprise. A low-cost business may require a high proportion of its cost to be committed. A marginality analysis looks at the enterprise’s present or future capacity under the applicable standard. The business plan should explain how assumptions connect to contracts, market research, prior operations, premises, equipment, staffing, and financing. It should not conceal losses, dependencies, or contingencies. A small operation is not automatically excluded, and a large purchase is not automatically sufficient. The useful question is whether the evidence describes a credible operating venture with the required economic capacity.

03

Show a real operating business

The enterprise should be active and capable of more than minimal support for the investor and household under the applicable framework. A future forecast is useful only when it rests on identifiable assumptions. Contracts, premises, permits, equipment, staffing, revenue evidence, and a reasoned operating plan can show a business that is more than an unused entity. An E-2 has no automatic conversion to permanent residence. A person considering longer-term options should keep temporary classification compliance distinct from any later immigrant analysis. Business success, a valid visa, or an ownership stake does not alone supply an immigrant category. That does not prevent factual planning, but it does mean statements at each stage must remain consistent with the route then being used. Review changes in ownership, funds, role, or enterprise activity before treating them as routine.

04

Explain development and direction

Majority ownership can be one way to show control, but voting, management, franchise, and operating agreements may limit or explain it. Identify who hires, sets budgets, approves key decisions, and directs daily activity. A passive investor with no meaningful role should not be portrayed as the person who will develop and direct the venture.
