THE SHORT ANSWER

Hypothetical example: Konstantin owns a valve and rotating-equipment overhaul shop in Petrolia and could reach the American market either by transferring himself into a company his own group would establish there, or by buying a going concern outright as a treaty investor. Both are workable on the facts. The question that separates them for him is not which is easier to obtain but which survives the events he can already foresee: a sale, a retirement, or a change of mind.

01

Transfer status is tied to an employment relationship and to a corporate link

Status in the transfer categories depends on continuing employment with the petitioning organization and on the qualifying relationship between the entities continuing to exist. If Konstantin sold the Canadian company, that relationship could change or vanish, and the status would follow it. If he ceased to be employed by the petitioner, the same applies. Ceilings also apply, seven years in an executive or managerial capacity and five in a specialized-knowledge one, and they are counted from the first day in the classification rather than from the current petition. Against that, the executive route has a well-worn connection to an employment-based immigrant category, which is why groups that intend to stay permanently often start here deliberately rather than by accident.

02

Treaty investor status is tied to ownership, and ownership can be sold

The investment route depends on the enterprise remaining at least half owned by nationals of the treaty country and on the investor continuing to develop and direct it. A sale to an American buyer therefore ends the basis of the status, not merely the investor's involvement, and so does a dilution that drops treaty-national ownership below half. Periods of admission are renewable for as long as the qualifying facts hold, which can mean many years, but the category offers no direct path to permanent residence and accrues nothing toward one. A family that has lived on it for a decade is in the same position on the day it ends as on the day it began, which is the fact most often left out of the comparison.

03

Questions worth putting to an American accountant and to counsel before choosing

How would the two structures be taxed in his hands, given the Canadian company he would keep. Whether a new American entity established by his group would be doing business quickly enough to support a transfer, or whether buying a going concern would be faster. What proportion of the purchase price of an existing shop would represent goodwill and customer relationships rather than equipment, and how each route treats that. Whether any equity offered to an American manager would drop treaty-national ownership below half. And what the intended end state is: a business sold in ten years, a business passed to a child, or a family permanently settled. That last answer usually decides the route more cleanly than any comparison of the requirements.
