PETROLIA · CONTROL AND EMPLOYMENT

A decision-maker may have authority without owning the company

USAvisa field guide · 3 minute readReviewed 7 September 2026
THE SHORT ANSWER

Employment authority and ownership rights can point to different evidence for L-1 and E-2. Identify how the applicant obtained authority and what limits it. Do not assume the person who signs contracts is the investor or that an owner necessarily performs a qualifying managerial role. Hypothetical example: A Canadian commercial-laundry director is offered an L-1 transfer and separately considers acquiring half of a U.S. distributor with a treaty-national partner. The decision is whether the current facts support a qualifying transfer, an investor case, neither, or sequential plans that must remain distinct. Create two side-by-side fact lists: entity relationship and foreign employment for L-1; nationality, ownership, funds, commitment, and operating authority for E-2. Do not let the same commercial story blur the separate legal conditions. If an L-1A transfer is chosen, its maximum stay is seven years; L-1B is limited to five years. That separate time horizon can matter when a business purchase is expected to develop more slowly than the transfer plan.

01

Describe the authority and its source

Hypothetical example: a senior employee can sign major contracts under a delegation, while a relative owns the proposed U.S. company. Record the delegation, employment role and actual ownership. Identify whether authority can be withdrawn and who sets policy. A signature on a transaction does not by itself establish beneficial ownership or investment control. Document where authority comes from today and whether it can be withdrawn. Employment authority may be relevant to a managerial transfer, while ownership and control carry different significance for an investor route. The first review should identify the instrument that gives each power. Decide whether a proposed share acquisition changes the current employment analysis before describing it as completed.

02

Apply the transfer and investor frameworks separately

Apply the two frameworks independently. L-1 requires one continuous qualifying year abroad in the prior three and a parent, branch, subsidiary or affiliate relationship while both entities remain active. L-1A work must be primarily managerial or executive, whereas L-1B depends on company-specific specialized knowledge; a new office receives at most one initial year, offsite activity must stay under petitioner control and cannot be labour-for-hire, and the respective maximum stays are seven and five years. E-2 requires treaty nationality for the investor and enterprise, capital irrevocably committed and at risk, an amount substantial relative to a real non-marginal operation, and development and direction through at least 50% ownership or operational control. E-2 has no direct path to permanent residence. For L-1, confirm the qualifying organizations, the continuous qualifying year abroad in the preceding three years, and the actual U.S. role; L-1A and L-1B have seven- and five-year maximum stays respectively. For E-2, test treaty nationality, at-risk irrevocably committed capital, real non-marginal operations, and development and direction. E-2 is not a direct permanent-residence route. Select a framework only after its own evidence is assembled.

03

Identify what would change under each proposal

Record whether the applicant would remain an employee, acquire shares or contribute funds, and when those changes become effective. Keep current facts distinct from future rights. Add the household’s individual activities after the principal possibilities are assessed; qualifying E and L spouses may work incident to valid status with appropriate evidence, while children do not receive the same benefit. Set a sequence for shares, funding, resignation or transfer, and household plans. A spouse's valid E or L status may carry work authorization incident to status with appropriate evidence, but children do not gain that benefit. The useful decision is what happens first and which facts remain hypothetical at each step. Avoid signing a document that contradicts the route being pursued.
