THE SHORT ANSWER

Hypothetical example: Yolande Bissonnette owns a horticultural-supply business in Lambton Shores that sells substrates, containers and irrigation components to growers on both sides of the border. She can either open an American subsidiary and transfer herself into it, or buy an American distributor outright and run that. Most comparisons of L-1 and E-2 start at the entry requirements. Hers is better answered at the other end, because the two categories react very differently to a change of ownership, a partner buying in, and a sale.

01

E-2 is held together by the ownership percentage

A treaty investor's status depends on facts that have to keep being true. The enterprise must remain at least fifty per cent owned by nationals of the treaty country, the investor must continue to develop and direct it, and the business must remain real, operating and more than marginal. That makes ordinary commercial events into status events. If Yolande sells forty per cent to an American partner she is close to a line; if she sells fifty-one per cent she is over it. Bringing in outside capital, granting options, or restructuring through a holding company all need to be tested against the ownership requirement before they are signed. In exchange the category can be extended for as long as those facts hold, but it confers no direct route to permanent residence, which is a limit worth knowing at the start rather than in year eight.

02

L-1 is held together by the corporate relationship and a clock

An intracompany transfer does not care what percentage Yolande personally owns. It cares whether a qualifying relationship of parent, branch, subsidiary or affiliate links the two employers, whether both continue doing business, and whether her role remains managerial, executive or specialized-knowledge in substance. Selling the Canadian parent to a third party can therefore end the relationship the status rests on even though nothing about her job changed, while selling half her personal shareholding may not matter at all. Against that, the L clock is fixed: seven years in the managerial and executive category, five in the specialized-knowledge one, with no extension beyond them. A category that ends on a date needs a plan for that date, made early.

03

The questions to settle before either structure is built

Four questions decide most cases of this shape. Who will own the American business in five years, and is that answer compatible with an ownership-based category? Is the Canadian business itself likely to be sold, and would that sale sever a corporate link? Is permanent residence the real objective, and if so which route is intended to deliver it, since neither of these classifications does so by itself? And which structure does the tax and corporate advice on both sides support, because immigration should be fitted to a sound structure rather than the other way round. Yolande should put those to a U.S. corporate adviser and a licensed U.S. immigration attorney together, before the acquisition agreement or the subsidiary's constitution is drafted.
